The scope, timeline, deliverables, and pricing for each project shall be mutually agreed upon by both parties prior to commencement of work and shall be documented in a written project proposal, quotation, or service agreement.

4. Eligibility

By engaging our services, you represent and warrant that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction; (b) you have the legal capacity and authority to enter into a binding agreement; (c) all information you provide to us is accurate, complete, and current; and (d) you are authorised to make payments on behalf of the business or entity you represent, if applicable.

5. Project Approval Process

All service engagements with Vedika Film Creation shall follow a structured project approval workflow:

1. Inquiry & Consultation: The Client submits a detailed project inquiry through our website contact form, email, WhatsApp, or telephone. Our creative team reviews the requirements and provides an initial consultation.
2. Proposal & Quotation: Based on the consultation, Vedika Film Creation prepares a formal project proposal or quotation outlining the scope of work, deliverables, timelines, revision limits, and total project cost.
3. Client Confirmation: The Client reviews and confirms acceptance of the proposal in writing (via email or digital communication). This written acceptance shall constitute a binding agreement between both parties.
4. Advance Payment: The Client remits the agreed advance payment (as specified in the quotation) to officially commence work on the project. Production shall not begin until the advance payment is received and confirmed.
5. Production & Review: During the production phase, the Client shall be provided with draft previews or rough cuts for review and feedback at designated milestones agreed upon in the project proposal.
6. Final Approval & Delivery: Upon receiving the Client's approval on the final draft, the completed deliverables shall be rendered and delivered in the agreed formats. Final balance payment, if applicable, shall be due prior to or upon delivery of the final output.

6. Payment Terms

The following payment terms apply to all service engagements with Vedika Film Creation:

• Currency: All prices are quoted in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless otherwise specified.
• Advance Payment: A minimum advance payment of 50% of the total project cost (or as otherwise specified in the quotation) is required before production commences.
• Balance Payment: The remaining balance shall be payable upon completion and prior to final delivery of the project deliverables.
• Payment Gateway: Online payments are processed securely through the Cashfree Payment Gateway. Vedika Film Creation does not store, collect, or process any credit/debit card details, bank account credentials, or UPI PINs. All payment transactions are encrypted using 256-bit SSL and comply with PCI-DSS security standards.
• Accepted Payment Methods: Credit/Debit Cards (Visa, MasterCard, RuPay), UPI (Google Pay, PhonePe, BHIM, Paytm), Net Banking, and Digital Wallets.
• Late Payment: In the event of delayed payment beyond the agreed timeline, Vedika Film Creation reserves the right to pause or suspend ongoing production until the outstanding amount is settled in full.
• Additional Charges: Any work requested by the Client that falls outside the originally agreed scope of work shall be subject to additional charges, which will be communicated and approved by the Client in writing prior to execution.

7. User Responsibilities

By using our website and/or engaging our services, you agree to the following responsibilities:

• Provide accurate, complete, and truthful information during all interactions, including contact forms, payment forms, and project briefs.
• Provide all necessary raw materials, brand assets, scripts, logos, product images, location permissions, and approvals required for the project in a timely manner.
• Respond promptly to review requests, feedback rounds, and approval milestones to avoid delays in the project timeline.
• Ensure that all materials provided to Vedika Film Creation are free from third-party intellectual property claims, copyrights, or legal disputes.
• Do not use our website for any unlawful, fraudulent, or malicious purpose, including but not limited to unauthorized data scraping, hacking attempts, or dissemination of harmful content.
• Do not attempt to reverse-engineer, decompile, or disassemble any software, technology, or creative processes used by Vedika Film Creation.
• Ensure that all payments are made from legally authorised bank accounts or payment instruments. Vedika Film Creation shall not be held liable for any payment disputes arising from unauthorised transactions.

8. Intellectual Property Rights

The intellectual property rights associated with our services are governed as follows:

• Company-Owned Content: All content displayed on the Vedika Film Creation website — including but not limited to text, graphics, logos, images, videos, audio files, design elements, animations, and software — is the exclusive intellectual property of Vedika Film Creation and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian intellectual property laws.
• Client Deliverables: Upon full and final payment for a completed project, the Client shall receive a non-exclusive, perpetual, royalty-free licence to use the final deliverables for the purposes mutually agreed upon in the project proposal. Unless explicitly agreed otherwise in writing, Vedika Film Creation retains the right to showcase completed projects in its portfolio, demo reels, website, and social media channels for promotional purposes.
• Raw Files & Source Files: Raw project files, source edits, After Effects project files, Premiere Pro project files, and other production source materials remain the exclusive property of Vedika Film Creation and shall not be transferred to the Client unless separately agreed upon in writing with applicable additional charges.
• Third-Party Licences: Any stock footage, royalty-free music, fonts, or other third-party licensed assets used in the production shall be subject to the respective third-party licence terms. Vedika Film Creation shall ensure proper licensing compliance for all third-party assets used in the project.
• Prohibition on Unauthorised Use: Reproduction, distribution, modification, public display, or commercial exploitation of Vedika Film Creation's website content, proprietary designs, or creative assets without prior written permission is strictly prohibited and may result in legal action.

9. Revisions & Modifications

Each service package includes a specified number of revision rounds as outlined in the project quotation. Revision requests must be submitted in writing within seven (7) business days of receiving the draft preview. Any revision requests beyond the included limit, or revision requests that substantially alter the originally agreed scope of work, may attract additional charges. Vedika Film Creation will communicate any additional costs before proceeding with such revisions, and work on the revisions shall not commence until written approval from the Client is received.

10. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, business-sensitive, and personal information exchanged during the course of the project engagement. Vedika Film Creation shall not disclose, share, or sell any Client data, project details, or business information to third parties without the Client's prior written consent, except as required by law or court order. This confidentiality obligation shall survive the termination or completion of the service agreement.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Vedika Film Creation shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, business opportunities, data, or goodwill — arising out of or related to your use of our website or services.
• Our total aggregate liability for any claim arising out of or related to a specific project shall not exceed the total amount paid by the Client for that particular project.
• Vedika Film Creation shall not be liable for any delays, non-performance, or failure to deliver caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of God, pandemics, government restrictions, internet disruptions, equipment failure, or force majeure events.
• Vedika Film Creation makes no representations or warranties regarding the commercial success, audience reach, or return on investment resulting from the use of the delivered video content or marketing materials.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vedika Film Creation, its directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our website or services; (b) your breach of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any materials, content, or information you provide to us for the purpose of project production that infringes upon third-party rights.

13. Website Use & Restrictions

In the event of termination, the Client shall remain liable for all outstanding payments for work already completed or in progress.

16. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services provided by Vedika Film Creation, the following resolution process shall apply:

1. Amicable Resolution: Both parties shall first attempt to resolve the dispute through good-faith negotiation and mutual discussion within thirty (30) days of the dispute arising.
2. Mediation: If the dispute cannot be resolved through negotiation, both parties agree to submit the dispute to mediation before a mutually agreed-upon mediator.
3. Jurisdiction: If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts located in Kolhapur, Maharashtra, India.

17. Amendments

Vedika Film Creation reserves the right to update, modify, or amend these Terms at any time without prior notice. Any changes shall be effective immediately upon publication on this page.
